FRIENDS OF THE BRIDGEVILLE PUBLC LIBRARY
Friends of the Bridgeville Public Library.
The purpose of the Friends shall be to maintain an association of people interested in supporting the Bridgeville Public Library.
Membership rolls shall be open to all persons upon payment of dues.
All membership dues shall be paid annually in January and will be as follows:
Junior Membership – 0-13 years of age: Free
Student – 14-22 years of age: $5
An annual meeting will be held every April. The President will call required meetings as often as deemed necessary to manage the affairs of the organization.
There will be a Board of Directors consisting of four elected officers. These officers will include a President, Vice President, Secretary and Treasurer.
The Board has the option to appoint advisory members as necessary, with terms determined by a majority vote of the Board.
The members present at any meeting of the membership will constitute a quorum.
DUTIES OF THE BOARD OF DIRECTORS
The Board shall decide all matters concerning the Friends and transact all business.
FUNDS AND LIABILITY
All acquired funds will be deposited in the Friends account at a bank designated by the Board.
All funds, such as dues, donations and results of fund raising, will be retained in the Friends account. The Board, upon written request, will vote on any project the Library Board would like the Friends to be a part of or assist with financially.
No member shall be held personally liable financially in connection with any of the Friends undertakings.
No member shall have the authority to borrow money or incur any indebtedness of liability, other than current expenses, in the name of or on behalf of this organization.
POLICY REGARDING BRIDGEVILLE PUBLIC LIBRARY
Insofar as the Friends are volunteers, distinct and separate from the Library, Library staff members may act only in advisory capacities for Friends activities.
The President of the Board is responsible for keeping the Library Board’s President appraised of related business/activities.
The Library board may appoint a representative to attend Friends meetings.
ACTIONS BY UNANIMOUS WRITTEN CONSENT WITHOUT A MEETING/E-VOTE
Any action which is required or permitted to be taken at a meeting of the Board of Directors may be taken without a meeting if a written consent setting forth the action to be taken and the effective date thereof is signed by all of the Directors. A copy of the consent shall be filed with the minutes of the meetings of the Board of Directors. Written consent may be obtained via email vote.
AMENDMENTS OF BY-LAWS
These By-Laws may be altered, amended or repealed from time to time by a majority vote of the membership at any regular or special meeting if the notice or waiver of notice of such meeting shall have stated that the By-Laws are to be amended, altered or repealed or if all Directors at the time are present at such meeting.
This is a complete and accurate copy of the BY-LAWS of the FRIENDS OF THE LIBRARY, which were approved and adopted, by majority vote, at the Members Meeting on Wednesday, September 14, 2016.
The undersigned, being the current Officers and members of the Friends of the Library, do hereby consent to approve, ratify and adopt the aforesaid BY-LAWS.
